Terms of Service

1. Acceptance of Terms

Welcome to VantaROI.ai ("VantaROI", "we", "us", or "our"). VantaROI is an AI-powered finance and marketing planning platform that helps businesses turn advertising spend into profit intelligence. By creating an account, purchasing a subscription or one-time report pack, or otherwise accessing or using the platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

2. Description of the Service

The Service uses artificial intelligence and statistical models to generate marketing campaign plans, advertising budget allocations, financial projections, and related analytical outputs such as estimated return on ad spend (ROAS), cost per acquisition (CPA), and projected profit figures, based on the inputs you provide. All outputs are estimates produced for educational and planning purposes only. They are not guarantees of performance, revenue, profit, or any other business outcome, and they do not constitute financial, investment, tax, accounting, or legal advice. You remain solely responsible for all business decisions, including how much you spend on advertising and where you spend it.

3. Accounts and Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate registration information and to keep it up to date. We may suspend or terminate accounts that violate these Terms, that we reasonably believe are being used fraudulently, or that pose a risk to the Service or other users.

4. Subscriptions, Report Packs, and Payment

The Service offers paid subscription plans and one-time report packs. Payments are processed in cryptocurrency through NOWPayments, a third-party payment processor. We do not collect or store your card details or your cryptocurrency wallet private keys. You are responsible for sending the correct amount of the correct cryptocurrency to the address provided during checkout, and for any network (gas) fees. Blockchain transactions are irreversible by design. Pricing may be displayed in fiat-equivalent terms, but the amount charged is denominated in cryptocurrency at the exchange rate applied by NOWPayments at checkout. Access to paid features is granted once the payment is confirmed on the applicable blockchain. Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

5. Acceptable Use

You agree not to: (a) use the Service to violate any law or regulation, including advertising, consumer protection, and financial promotion rules applicable to your business; (b) reverse engineer, scrape, or resell the Service or its outputs as a competing product; (c) submit inputs that are unlawful, infringing, or that you do not have the right to share; (d) attempt to gain unauthorized access to the Service, other accounts, or our infrastructure; or (e) misrepresent AI-generated projections as audited financial statements or guaranteed results when presenting them to investors, lenders, customers, or any third party.

6. Intellectual Property and Your Content

We own all rights in the Service, including software, models, design, and documentation. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the Service and to use the reports and plans generated for you in your own business. You retain ownership of the business data and inputs you submit, and you grant us a license to process that data to provide the Service, as described in our Privacy Policy.

7. Third-Party Services

The Service integrates with third-party providers, including NOWPayments for payment processing, Resend for transactional email, and AI model providers (such as OpenAI and Anthropic) for content generation when configured. Your use of the Service constitutes acknowledgment that these providers process data as described in our Privacy Policy. We are not responsible for the acts or omissions of third-party services, including advertising platforms on which you choose to run campaigns.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PROJECTIONS WILL BE ACCURATE OR THAT ANY CAMPAIGN WILL PERFORM AS ESTIMATED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR WASTED ADVERTISING SPEND, AND OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, for fraud or abuse, or where required by law. Upon termination, your license to use the Service ends, but sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and dispute provisions) will survive.

10. Changes to the Service and These Terms

We may modify the Service or these Terms from time to time. Material changes will be communicated by email or in-app notice, and the "Last updated" date above will be revised. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
